Please read these Terms of Service carefully before using statecertificate.com. By placing an order or using our services, you agree to be bound by these terms.
State Certificate is a document retrieval service that assists businesses in obtaining official Certificates of Good Standing from U.S. state agencies. We are not a law firm, and we do not provide legal advice. We act as an intermediary to submit certificate requests on your behalf to the appropriate state government agency.
State Certificate is a private company and is not affiliated with, endorsed by, or associated with any federal, state, or local government agency. The official Certificate of Good Standing is issued by the relevant state government. Our service fee is separate from and in addition to any state filing fees.
By submitting an order, you represent that the information you provide is accurate and complete. We reserve the right to reject or cancel any order at our discretion. Processing times are estimates only; state agencies control actual issuance timelines and we are not responsible for delays caused by state processing backlogs, holidays, or other factors outside our control.
All fees are due at the time of order. Our service fee covers order preparation, submission, and delivery. State filing fees, if applicable, are included in the quoted price or disclosed separately before checkout. Payment is non-refundable once your request has been submitted to the state agency, except as described in our Refund Policy.
Certificates are delivered digitally via email as official PDF documents once issued by the state. Delivery timelines vary by state and processing speed selected. We are not responsible for email delivery failures caused by incorrect email addresses, spam filters, or third-party email providers.
You are solely responsible for providing accurate business information. If your order cannot be completed due to inaccurate information (e.g., incorrect business name, wrong state, dissolved entity), our Refund Policy will apply. We are not responsible for certificates issued with information you provided incorrectly.
To the fullest extent permitted by law, State Certificate's total liability to you for any claim arising out of or related to our services shall not exceed the amount you paid for the specific order giving rise to the claim. We are not liable for indirect, incidental, special, consequential, or punitive damages of any kind.

These Terms are governed by the laws of the State of Wyoming, without regard to conflict of law principles. Any disputes shall be resolved exclusively in the state or federal courts located in Sheridan County, Wyoming.
We reserve the right to modify these Terms at any time. Updated Terms will be posted on this page with a revised effective date. Continued use of our services after changes constitutes acceptance of the new Terms.
